Terms of Service
1. Agreement to these Terms
These Terms of Service (“Terms”) govern your access to and use of Urta’s websites, applications, messaging features, AI-assisted communication tools, and related services (collectively, the “Service”). By creating an account or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
2. What Urta does
Urta provides communication tools that may help users manage difficult or sensitive conversations. Features may include invitations, messaging, tone or mood indicators, AI-assisted reformulation, filtering, classification, and other communication controls.
AI-generated or AI-modified content may be inaccurate, incomplete, or inappropriate. You remain responsible for deciding whether to send, rely on, or act on content produced or modified through the Service.
3. Not professional or emergency services
Urta is not a therapist, mediator acting in a professional legal capacity, law firm, medical provider, law-enforcement service, or emergency service. The Service does not provide legal, medical, mental-health, or other professional advice. If you are in immediate danger, use the appropriate local emergency service.
4. Eligibility and accounts
You must be at least 18 years old and legally capable of agreeing to these Terms. You agree to provide accurate account information, protect your credentials, and promptly notify us of suspected unauthorized access. You are responsible for activity occurring through your account to the extent permitted by law.
5. Invitations and communications with others
You may use Urta only to communicate with people you are legally permitted to contact. An invitation to communicate through Urta does not override another person’s boundaries, a block, restraining or protective order, court order, workplace rule, platform restriction, or applicable law. You must stop contacting a person when legally required to do so.
6. Acceptable use
You may not use Urta to threaten or facilitate violence; stalk, harass, intimidate, exploit, or impersonate another person; distribute unlawful content; facilitate fraud or criminal activity; evade legal restrictions on contact; compromise another account or system; send malware or spam; scrape or reverse engineer the Service except where law permits; or interfere with the Service’s security or operation.
We may investigate suspected violations and may restrict, suspend, or terminate access when reasonably necessary to protect users, the Service, or others.
7. AI-assisted processing
When you use AI-assisted features, message content may be transmitted to third-party AI or infrastructure providers for processing. You authorize this processing as necessary to provide the feature you request. Additional information appears in our Privacy Policy.
AI reformulation can alter nuance, tone, or meaning. Urta does not guarantee that an AI-generated classification, reformulation, or other output accurately represents a sender's intent, emotional state, or meaning. You remain responsible for reviewing and deciding whether to send or rely on AI-assisted content.
8. User content
You retain ownership of content you submit to Urta. You grant Urta a limited, worldwide, non-exclusive license to host, transmit, reproduce, transform, and otherwise process that content solely as reasonably necessary to operate, secure, and provide the Service, comply with law, and enforce these Terms. This license ends when the content is deleted from our systems, except where retention is legally permitted or required.
You represent that you have the rights necessary to submit your content and that your use of the Service will not violate another person’s rights or applicable law.
9. Privacy
Our Privacy Policy explains how we collect and process personal information. Because certain AI features require server-side or third-party processing, do not assume that messages using those features are end-to-end encrypted unless Urta expressly states that a specific feature is end-to-end encrypted.
10. Intellectual property
Urta and its licensors own the Service, including its software, visual design, trademarks, branding, and other materials excluding user content. These Terms do not grant you ownership of Urta intellectual property.
11. Beta and evolving features
Some features may be experimental, beta, or changed without notice. We may add, modify, suspend, or discontinue features, subject to applicable law. Beta features may be less reliable and should not be used where failure could create a substantial risk of harm.
12. Paid services
As of October 15, 2026, Urta is provided free of charge.
Urta may introduce paid plans, subscriptions, or other paid features in the future. If we do, applicable pricing, billing terms, renewal information, cancellation options, and any refund terms will be presented before you are charged.
We will provide notice of material changes to pricing or the introduction of paid services where required by law.
13. Third-party services
The Service may rely on or link to third-party services. Their services are governed by their own terms and privacy practices. Urta is not responsible for third-party services except as required by law.
14. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” URTA DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT AI OUTPUTS WILL BE ACCURATE.
15. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, URTA, SMOL LABS, AND THEIR SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY ARISING FROM THE SERVICE. OUR AGGREGATE LIABILITY FOR CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID URTA DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US$100, EXCEPT WHERE APPLICABLE LAW DOES NOT ALLOW SUCH A LIMITATION.
16. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Urta and Smol Labs from claims arising from your unlawful use of the Service, your content, or your material violation of these Terms. This provision does not apply where prohibited by law.
17. Suspension and termination
You may stop using Urta at any time. We may suspend or terminate access for material violations of these Terms, security risks, unlawful conduct, or where necessary to protect users or the Service. Provisions that by their nature should survive termination will survive.
18. Governing law and disputes
These Terms are governed by the laws of the State of New York, United States, without regard to conflict-of-law principles, except to the extent that applicable law in your place of residence provides mandatory rights or protections that cannot be waived by agreement.
Subject to applicable law, disputes arising out of or relating to these Terms or the Service may be brought in the state or federal courts located in New York. Nothing in these Terms limits any rights you may have under mandatory consumer protection laws or prevents you from bringing a claim in another court where applicable law gives you that right.
19. Changes to these Terms
We may update these Terms as the Service evolves. We will provide notice of material changes when required by law. Continued use after revised Terms take effect constitutes acceptance where legally permitted.
